Role Overview

We are seeking a Project & Program Senior Manager – Valuation / M&A Finance to lead the end-to-end execution of Post-Sign Purchase Price Allocation (PPA) activities. This role will act as the key liaison between internal stakeholders, external valuation specialists, auditors, and cross-functional finance teams. The ideal candidate will bring strong M&A finance expertise, valuation oversight experience, and the ability to manage multiple deal workstreams in a fast-paced environment.

Key Responsibilities

Own and manage the full lifecycle of Post-Sign Purchase Price Allocation (PPA) projects from deal signing through closing and audit support.

Establish project timelines immediately upon deal signing, ensuring readiness prior to close.

Review Purchase Agreements to identify transferred assets (Real Property, Personal Property, and Intangibles) and define valuation scope.

Collaborate with Technical Accounting, Tax, and Global Risk teams to align requirements.

Manage third-party valuation vendors (Big Four and external firms), including scoping, coordination, and deliverable oversight.

Validate technical valuation methodologies across asset classes and ensure auditor alignment.

Perform detailed quality assurance reviews of valuation reports, challenging assumptions and ensuring compliance with benchmarks.

Oversee preparation and accuracy of the Pre-valuation Opening Balance Sheet (OBS).

Lead audit defense efforts, maintain control documentation, and reconcile final valuation outputs to the general ledger.

Monitor valuation inputs and risks, including impairment considerations throughout the measurement period.

Required Qualifications

Bachelor’s degree in Finance, Accounting, Economics, or related quantitative field (Master’s preferred).

Strong knowledge of US GAAP and financial statement analysis.

3–5+ years of experience in Transaction Advisory, Corporate Finance, Corporate Development, or Big Four environments.

Proven ability to manage complex financial projects and multiple deal timelines simultaneously.

Excellent written communication skills with experience preparing executive-level materials.

Strong analytical mindset with high attention to detail.

Preferred Skills

Experience supporting M&A transactions and valuation processes.

Familiarity with audit coordination and external valuation methodologies.

Ability to operate in a fast-moving, cross-functional corporate environment.
